Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Audin platform, websites, applications, APIs, and related services (collectively, the "Service").
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
If you access or use the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
In that case, "you" and "your" refer to both you and the entity you represent.
2. Eligibility
You must be at least 16 years old to use the Service.
You may not use the Service if you are prohibited from using software services under applicable laws or sanctions regulations.
3. Accounts & Security
You are responsible for:
- Maintaining the confidentiality of account credentials
- All activities occurring under your account
- Managing administrator permissions and user access
- Maintaining secure internal device and password practices
- Promptly notifying us of unauthorized access or suspected security incidents
We may suspend, restrict, or terminate accounts at our discretion if we reasonably believe:
- The Service is being misused
- Security risks exist
- Applicable laws may be violated
- Customer activity creates operational or legal exposure
- Payments are overdue
4. Acceptable Use
You agree not to:
- Use the Service in violation of applicable laws or regulations
- Upload unlawful, infringing, defamatory, discriminatory, or harmful content
- Reverse engineer, decompile, or attempt to extract source code
- Use automated scraping, bots, crawlers, or extraction systems without permission
- Attempt unauthorized access to systems, accounts, or infrastructure
- Interfere with Service stability, security, or availability
- Use the Service to distribute malware or malicious code
- Use the Service to develop competing products or benchmark the platform without written authorization
- Resell or sublicense the Service without written permission
- Misrepresent your identity or organizational affiliation
5. Ownership & Intellectual Property
The Service, including all software, designs, workflows, interfaces, visual elements, architecture, analytics systems, trademarks, branding, documentation, and related intellectual property, are owned by Audin or its licensors and protected by intellectual-property laws.
Except for limited rights expressly granted under these Terms, no rights are transferred to you.
You may not copy, reproduce, modify, distribute, create derivative works from, or commercially exploit any portion of the Service except as expressly permitted.
6. Customer Data
Customers retain ownership of the operational and organizational data submitted to the Service ("Customer Data").
You grant Audin a limited, non-exclusive license to host, process, transmit, store, back up, analyze, and display Customer Data solely as necessary to:
- Provide and operate the Service
- Maintain security and infrastructure reliability
- Generate aggregated and de-identified analytics
- Provide support and troubleshooting
- Comply with legal obligations
Customers are solely responsible for:
- The legality, accuracy, and integrity of Customer Data
- Obtaining required permissions and consents
- Compliance with applicable labor, surveillance, privacy, and employment laws
- Reviewing operational decisions and audit conclusions
- Exporting data before cancellation or deletion deadlines
Audit Immutability
Certain audit logs, amendment records, access logs, and integrity-tracking systems are intentionally designed to preserve historical accountability.
Customers acknowledge that historical audit records may remain retained within immutable logging systems for integrity, compliance, fraud-prevention, security, or evidentiary purposes.
7. Feedback
If you provide feedback, ideas, suggestions, recommendations, or feature requests regarding the Service, you grant Audin a perpetual, irrevocable, worldwide, royalty-free right to use, modify, incorporate, and commercialize such feedback without restriction or compensation.
8. Subscriptions, Billing & Payments
- Billing: Paid subscriptions renew automatically unless canceled before renewal.
- Payment processing: Payments are processed through third-party providers such as Stripe.
- Authorization: You authorize recurring charges to your payment method.
- Refunds: Fees are generally non-refundable. However, customers may request a full refund within 14 days of their first subscription payment if they are not satisfied with the Service.
- Price changes: We may change pricing with advance notice before renewal.
- Taxes: Fees do not include taxes unless stated otherwise.
- Failed payments: We may suspend or downgrade accounts following failed payments.
Enterprise agreements, order forms, or negotiated contracts may supersede portions of these Terms only where expressly agreed in writing.
No purchase order, procurement document, vendor questionnaire, or customer-provided terms modify these Terms unless expressly accepted in writing by Audin.
9. Free & Trial Tiers
Audin may offer free, trial, or limited-functionality tiers of the Service. These tiers may include usage limits on features such as AI-assisted generation, storage, number of users, or audit volume.
Free and trial tiers are provided without any commitment, warranty, or guarantee and may be modified, limited, or discontinued at any time without prior notice.
10. Service Availability
We strive to maintain reliable platform availability but do not guarantee uninterrupted or error-free operation.
The Service may experience interruptions, delays, maintenance periods, outages, or failures.
Unless explicitly stated in a separate written agreement, no service-level agreement (SLA), uptime guarantee, or response-time commitment applies.
We may modify, suspend, or discontinue features at any time.
11. AI, Analytics & Automated Features
Certain features may use automated systems, analytics models, machine learning systems, or AI-assisted tooling to generate recommendations, summaries, prioritization suggestions, operational insights, scoring, corrective-action guidance, or workflow assistance.
Automated outputs may contain inaccuracies, omissions, errors, or incomplete information.
Such outputs are provided for informational purposes only and do not constitute:
- Legal advice
- Regulatory certification
- Employment-law guidance
- Safety certification
- Professional compliance consulting
Customers remain solely responsible for operational decisions, compliance obligations, corrective actions, operational practices, and regulatory outcomes.
12. Beta & Experimental Features
Certain features may be labeled beta, preview, experimental, or early access.
Such features may be modified, suspended, or discontinued at any time and may contain bugs, limitations, or incomplete functionality.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDIN DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
AUDIN DOES NOT WARRANT THAT:
- The Service will be uninterrupted or error-free
- The Service will guarantee legal or regulatory compliance
- The Service will prevent incidents or operational failures
- Audit outputs or recommendations will be accurate or complete
- The Service is suitable for emergency-response or life-critical systems
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDIN AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR:
- Indirect or consequential damages
- Loss of profits, revenue, contracts, or business opportunities
- Loss of data or corruption of data
- Business interruption
- Regulatory penalties or compliance failures
- Operational outcomes or incidents
- Procurement losses or substitute-service costs
- Third-party claims arising from Customer Data or customer operations
Our total aggregate liability arising from or related to the Service or these Terms will not exceed the amounts paid by you to Audin during the 12 months preceding the event giving rise to liability.
Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold harmless Audin and its affiliates, officers, employees, contractors, and licensors from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:
- Your use of the Service
- Your Customer Data
- Your violation of these Terms
- Your violation of laws or third-party rights
- Your operational, compliance, or employment practices
16. Suspension & Termination
You may stop using the Service at any time.
We may suspend, restrict, or terminate access immediately, with or without notice, if:
- You violate these Terms
- Security or legal risks arise
- Required payments are overdue
- Customer activity threatens Service integrity or infrastructure
- We are required to do so by law
Account Deletion
Following account cancellation or termination, customer data will be retained for 30 days, during which customers may request a data export. After the 30-day retention period, data may be permanently deleted from active systems. Backup copies may persist temporarily until scheduled purge cycles complete.
17. Force Majeure
Audin is not responsible for delays, outages, failures, interruptions, or damages caused by events beyond our reasonable control, including infrastructure failures, cloud-provider outages, cyberattacks, labor disputes, internet disruptions, natural disasters, acts of government, pandemics, or force majeure events.
18. Dispute Resolution & Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
To the maximum extent permitted by law, disputes arising from or relating to these Terms or the Service will be resolved through binding individual arbitration rather than court proceedings.
You and Audin waive any right to:
- Trial by jury
- Participation in class actions or representative proceedings
- Consolidated claims or mass arbitration actions
Arbitration will be conducted in Kansas under commercially reasonable arbitration rules selected by Audin.
Either party may seek injunctive relief for intellectual-property misuse, unauthorized access, or confidentiality violations.
Any claim arising under these Terms must be brought within one (1) year after the claim arises, or the claim is permanently barred.
19. Export Compliance
You may not use, export, or access the Service in violation of U.S. export-control laws, sanctions laws, or other applicable trade restrictions.
20. Privacy & Data Processing
Use of the Service is also governed by our Privacy Policy.
Data Processing Addenda (DPAs) may be made available for qualifying enterprise customers upon request.
21. Changes to Terms
We may update these Terms periodically.
Material changes may be communicated through the Service, email, or other reasonable methods.
Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.
22. Governing Law
These Terms are governed by the laws of the State of Kansas, excluding conflict-of-law principles.
If arbitration provisions are found unenforceable, exclusive jurisdiction and venue will lie in state or federal courts located in Kansas.
23. Miscellaneous
- Entire agreement: These Terms and the Privacy Policy constitute the complete agreement between the parties regarding the Service.
- Severability: If any provision is unenforceable, the remaining provisions remain effective.
- No waiver: Failure to enforce any provision is not a waiver.
- Assignment: We may assign these Terms in connection with mergers, acquisitions, financing, or asset transfers.
- Survival: Provisions relating to liability, arbitration, indemnification, ownership, payment obligations, and disclaimers survive termination.
